The Springbrooke Condominium "Declaration of Condominium Ownership" establishes that a “Board of Directors” or “Board” will fill the role of “Board of Managers” that is set forth in the Ohio “Condominium Act”. It further establishes that “The Board of Directors and Officers of the Unit Owners Association elected as provided by the "By-Laws" of the Unit Owners Association shall exercise the powers and discharge the duties and be vested with the rights conferred by operation of law, by the By-Laws, and by the Declaration upon the Association.” The By-Laws establish that the Board will be composed of no less than three (3) and no more than seven (7) members. Board members are elected by secret ballot to three (3) year terms at the Annual Owner's meeting. The Board is required to organize with a President and Vice President selected from board members and is required to have a secretary and treasurer or secretary/treasurer who can be either a board member or a volunteer unit owner. If the secretary and or treasurer position is filled by a volunteer that individual is not a voting member of the board. If a Director resigns or cannot fill their un-expired term the remaining board members are permitted to appoint an owner to serve in their place until the next annual Owner's meeting.
